1. Introduction and Acceptance

Welcome to GetSome.Software ("Company", "we", "us", or "our"). These Terms and Conditions ("Terms") govern your use of our Oracle Cloud Infrastructure (OCI) services and solutions provided under our OCI tenancy.

By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

2. Service Description

GetSome.Software provides Oracle Cloud Infrastructure services, solutions, and support as an authorized reseller operating under our own OCI tenancy. Our services include but are not limited to:

  • OCI compute instances and resources
  • Cloud storage solutions
  • Database services (Oracle Autonomous Database, MySQL, etc.)
  • Networking and security services
  • AI and machine learning services
  • Application development and deployment solutions
  • Technical support and consultation
  • Custom cloud architecture design

3. Account Registration and Security

3.1 Account Creation

To use our services, you must create an account with accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Security

You are solely responsible for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other security breach.

3.3 Account Suspension

We reserve the right to suspend or terminate your account if:

  • You violate these Terms
  • Payment obligations are not met
  • Your usage violates Oracle's Acceptable Use Policy
  • We are required to do so by law or regulatory authority

4. Services and Pricing

4.1 Service Provision

We provide OCI services under our tenancy. Service availability and features are subject to Oracle Cloud Infrastructure's capabilities and our service offerings.

4.2 Pricing and Billing

Prices for our services are displayed on our platform and are subject to change with reasonable notice. Billing is conducted monthly unless otherwise agreed in writing. All prices are exclusive of VAT and other applicable taxes unless stated otherwise.

4.3 Payment Terms

  • Payment is due within 30 days of invoice date unless otherwise agreed
  • We accept payments via bank transfer and other specified payment methods
  • Late payments may incur interest charges at the statutory rate
  • Failure to pay may result in service suspension or termination

4.4 Resource Usage

You are billed based on actual resource consumption. You are responsible for monitoring your resource usage and associated costs through our platform.

5. Acceptable Use Policy

You agree not to use our services for:

  • Any unlawful purpose or in violation of any applicable laws or regulations
  • Distributing malware, viruses, or other harmful code
  • Unauthorized access to systems or networks
  • Mining cryptocurrency without prior written approval
  • Sending spam or unsolicited communications
  • Hosting illegal content or engaging in fraudulent activities
  • Circumventing security measures or attempting to disrupt services
  • Any activity that violates Oracle's Acceptable Use Policy

Violation of this policy may result in immediate account suspension or termination.

6. Data Protection and Privacy

6.1 Data Processing

We process personal data in accordance with the General Data Protection Regulation (GDPR) and other applicable data protection laws. Please refer to our Privacy Policy for detailed information.

6.2 Customer Data

You retain all rights to your data stored on our OCI infrastructure. We do not access, use, or disclose your data except:

  • As necessary to provide services
  • To comply with legal obligations
  • With your explicit consent

6.3 Data Security

We implement appropriate technical and organizational measures to protect your data, leveraging Oracle's enterprise-grade security infrastructure.

6.4 Data Location

Data is stored in Oracle Cloud data centers. You may specify your preferred data center region subject to availability and additional costs.

6.5 Backups

While we provide backup capabilities, you are ultimately responsible for maintaining your own backups. We recommend implementing regular backup procedures for critical data.

7. Service Level Agreement (SLA)

7.1 Availability

We strive to maintain high service availability in accordance with Oracle Cloud Infrastructure's SLA. Specific uptime commitments are detailed in your service agreement.

7.2 Scheduled Maintenance

We reserve the right to perform scheduled maintenance with reasonable advance notice. We will minimize service disruption during maintenance windows.

7.3 Service Credits

In the event of service failures attributable to our infrastructure, service credits may be issued as outlined in your specific service agreement.

8. Intellectual Property

8.1 Our Rights

All intellectual property rights in our platform, services, and materials remain our property or that of our licensors (including Oracle).

8.2 Your Rights

You retain all intellectual property rights to your data, applications, and content stored on our infrastructure.

8.3 License Grant

We grant you a limited, non-exclusive, non-transferable license to use our services in accordance with these Terms.

9. Liability and Indemnification

9.1 Limitation of Liability

To the maximum extent permitted by law, our liability for any claims arising from or related to these services is limited to the amounts paid by you for services in the 12 months preceding the claim.

9.2 Exclusions

We shall not be liable for:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, data, or business opportunities
  • Service interruptions due to factors beyond our reasonable control
  • Third-party actions or services

9.3 Indemnification

You agree to indemnify and hold harmless GetSome.Software from any claims, damages, or expenses arising from:

  • Your use of the services
  • Your violation of these Terms
  • Your violation of any third-party rights

9.4 No Warranty

Services are provided "as is" without warranties of any kind, express or implied, except as required by law.

10. Term and Termination

10.1 Term

These Terms remain in effect while you use our services.

10.2 Termination by You

You may terminate your account at any time with 30 days written notice. You remain responsible for all charges incurred until termination is effective.

10.3 Termination by Us

We may terminate or suspend your access immediately for:

  • Material breach of these Terms
  • Non-payment of fees
  • Violation of acceptable use policies
  • Legal or regulatory requirements

10.4 Effect of Termination

Upon termination:

  • Your access to services will cease
  • You must pay all outstanding charges
  • You should retrieve your data within 30 days (data may be deleted thereafter)
  • Provisions that by their nature should survive will remain in effect

11. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via:

  • Email to your registered address
  • Prominent notice on our website
  • In-platform notification

Continued use of services after changes constitutes acceptance of the modified Terms. If you do not agree with changes, you must terminate your account.

12. Support and Communication

12.1 Support Services

Technical support is provided as specified in your service agreement. Support levels may include:

  • Email support (standard)
  • Phone support (premium plans)
  • 24/7 emergency support (enterprise plans)

12.2 Communication

Official communications will be sent to your registered email address. You must keep your contact information current.

13. Third-Party Services and Oracle Relationship

13.1 Oracle Cloud Infrastructure

Our services are built on Oracle Cloud Infrastructure. Your use is also subject to Oracle's terms and policies, including:

  • Oracle Cloud Infrastructure Terms of Use
  • Oracle Acceptable Use Policy
  • Oracle Privacy Policy

13.2 Third-Party Integrations

We may offer integrations with third-party services. Your use of such services is subject to their respective terms and conditions.

13.3 No Oracle Affiliation

GetSome.Software is an independent reseller and is not an agent, partner, or affiliate of Oracle Corporation.

14. Confidentiality

Both parties agree to maintain confidentiality of proprietary information disclosed during the term of service. This obligation survives termination of the agreement.

Confidential information does not include information that:

  • Is publicly available
  • Was known prior to disclosure
  • Is independently developed
  • Is rightfully obtained from a third party

15. Compliance and Export Control

You must comply with all applicable laws and regulations, including:

  • Export control laws and regulations
  • Data protection and privacy laws (GDPR, etc.)
  • Industry-specific regulations
  • Local and international trade restrictions

You represent that you are not located in, or a national of, any country subject to trade embargoes or sanctions.

16. Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including:

  • Natural disasters
  • War, terrorism, or civil unrest
  • Government actions or regulations
  • Internet or telecommunications failures
  • Pandemics or public health emergencies

17. Dispute Resolution

17.1 Governing Law

These Terms are governed by the laws of the Netherlands, without regard to conflict of law provisions.

17.2 Jurisdiction

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of the Netherlands.

17.3 Informal Resolution

Before initiating formal proceedings, parties agree to attempt to resolve disputes through good faith negotiations.

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and GetSome.Software.

18.2 Severability

If any provision is found unenforceable, the remaining provisions remain in full effect.

18.3 Waiver

Failure to enforce any right or provision does not constitute a waiver of that right or provision.

18.4 Assignment

You may not assign these Terms without our written consent. We may assign these Terms to any affiliate or in connection with a merger, acquisition, or sale of assets.
